COMPLAINT:

eCommerce Exchange.com

eCommerce Exchange.com sells & services eMerchant Accounts, etc. EXC.com has its own recruiting program, where it pays their Affiliate Associates commissions for the sale of eMerchant Accounts from $85 to $295.00. eCommerce Exchange.com requires good to reasonable credit and $495.00 down to lease its equipment and newly ventured virtual password. eCommerceExchange.com admitted to us that our lease was not the usual eCommerceExchange.com lease package. eCommerceExchange.com participated in the OLE MLM Scheme, which resulted in Injurious Conduct for all they signed up through OnlineExchange.com.

  1. eCommerceExchange.com had the OLE distributors sign several blank contracts: one for
  2. eCommerceExchange.com & one for LeaseComm.com, which further substantiates the confusion & hype.

  3. eCommerceExchange.com failed to have qualified representatives at the meetings to explain it's actual

products and cancellation policies. There was never a verbal or written notice of the right to cancel via 3-day notice, nor were we given a copy of your contract, as they had to send it in. We would've never received a copy, unless we asked. They are back-dated when their Representatives type & sign them in their office.

c. eCommerceExchange.com failed to train us in the use of its software.

  1. eCommerceExchange.com allowed unqualified OLE trainers/distributors represent the sale of its
  2. Virtual eMerchant Accounts. The OLE trainers failed to address eCommerce Exchange.com products, policies, and procedures. Their paper work stated Memberships could not use the eMerchant Account and our online business is to be a membership-oriented website.

  3. The OLE trainers/distributors possessed a conflict of interest when selling the eCommerce
  4. Exchange.com products, as they are more interested in recruitment, rather than the retail sales of the eCommerce Exchange.com products.

  5. eCommerceExchange.com induced the OLE accounts to lease a questionable Merchant Account that is
  6. grossly over-priced. eCommerce charges its customers $495.00 as a one-time fee, then monthly charges, but signed us with LeaseComm charging over $3,000 over a 48 month period! Especially when other online pay systems are free to join with little to no monthly cost such as : Paypal for FREE, Yahoo Pay Direct for FREE, and website hosting companies like Homestead.com are FREE, while others charge $15.95 and up. No software, no equipment, no nothing! What is the $89.95 per month for 48 months for?

  7. eCommerceExchange.com failed to advise us that the lease they boasted of as transferable is not
  8. without conditions, that transferee must apply & be approved for their services, then pay an additional $495.00 (Where is that in BOLD WRITING?). eCommerceExchange.com also stated you need not be affiliated with LeaseComm to have the eMerchant Account for $495.00+ monthly bankcard serving fees.

  9. eCommerceExchange.com failed to disclose that the Software is really not transferable because it

does not attach to anything. We later discovered we are leasing a password only.

I. eCommerceExchange.com failed to advise us of additional monthly fees it would deduct from our personal checking account. They stated the reason for the checking account was to deposit our credit card sales. eCommerceExchange.com induced us to co-mingle personal & business funds.

a. eCommerceExchange.com failed to inform us that we are leasing a virtual password and that at the end of the 48-month lease, we will then given an opportunity to purchase the PASSWORD outright.

b. eCommerceExchange.com failed to give us an option to purchase their regular eMerchant Package.

c. eCommerceExchange.com assumed we were a poor credit risk without running our credit report, thereby signing us up with a product leasing company that charged inflated prices at an unfair market value.

  1. eCommerceExchange.com failed to have qualified representatives at the meetings to explain its actual
  2. products and cancellation policies.

  3. eCommerceExchange.com induced us to sign Commercial Leases without a business license or business checking account.

  5. ECommerceExchange.com failed to respond to and /or adequately clarify our allegations in a timely manner beginning in October 2000 to January 2001. ECommerceExchange.com thereby contributed to our Leasing Account delinquency, as we felt we were not going to pay for a product we did not have nor use.
  1. ECommerceExchange.com is in violation of the Electronic Fund Transfer Acts because
  2. eCommerceExchange.com advised us via their paperwork that we may provide our personal checking account so that they may deposit our credit card payments into and if later we needed a business account they would assist us.

  3. eCommerceExchange.com induced us to co-mingle our personal funds with our business funds, especially

when all they did was deduct bankcard fees the very next month.

c. eCommerceExchange.com passed on our personal checking account number on to LeaseComm.com and authorized LeaseComm.com to deduct commercial lease payments from our personal checking account.

a. As a corporation, eCommerceExchange.com must register with the state of California and have done so, as a LLC. Although eCommerce Exchange.com has a registered agent-for- service in the State of CA, they refused to confirm that agent of service.

REMEDY:

We are respectfully petitioning the court to have eCommerce Exchange.com render the following:

  1. We respectfully request to reserve the right to amend our allegations and
  2. remedies, as these companies have never fully cooperated and it has been a

    constant unraveling of the truth.

  3. eCommerceExchange.com must execute cancellation of our virtual software
  4. lease agreement with LeaseComm.com as soon as possible.

  5. eCommerceExchange.com must refund the $25.00 it took out of our checking account for bankcard services fees since we did not have a website with a working shopping cart. Had it not been foe a complaint to OLE they would still be collecting the fees, as in the case of many other distributors.
